1. Who We Are

TRADIZI is developed and operated by ZimTrix Technologies LTD, a technology company incorporated in Lagos, Nigeria. References to "TRADIZI", "we", "our", or "us" refer to ZimTrix Technologies LTD.

TRADIZI is a mobile business management application that enables traders and retailers to manage inventory, record sales, track customer debts, generate reports, and back up business data securely to the cloud.

2. Acceptance of Terms

By downloading, installing, registering for, or using TRADIZI, you agree to be bound by these Terms of Use, our Privacy Policy, and any additional guidelines we may publish. If you do not agree to these Terms, you must not use TRADIZI.

3. Eligibility

To use TRADIZI, you must:

• Be at least 18 years of age
• Be legally capable of entering into a binding agreement
• Not be prohibited from using our services under Nigerian law or any other applicable laws
• Provide accurate and truthful information during registration

4. Account Registration

To access TRADIZI, you must create an account by providing your business name, full name, phone number or email address, and a 6-digit PIN.

4.1 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must not share your PIN with unauthorised persons. You are responsible for all activities that occur under your account.

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated. We reserve the right to suspend accounts found to contain false or misleading information.

4.3 Staff Accounts

Business owners may invite staff members (Managers and Sellers) to access the account. The business owner is responsible for all activities carried out by staff accounts under their business.

5. Free and Paid Plans

5.1 Free Plan

• Up to 50 products and 30 customers
• 90 days of cloud backup from account creation date
• Limited WhatsApp sharing (10 reminders per month)
• Basic sales and debt tracking
• 1 staff account

5.2 Pro Plan

• Up to 1,000 products and 500 customers
• Full cloud backup and data sync
• 1 year sales history
• Advanced reports and analytics
• Up to 500 WhatsApp reminders per month
• Up to 3 staff accounts · Multi-device access
• Low stock notifications · Unbranded PDF receipts

5.3 Business Plan

• All Pro features
• Unlimited products, customers, sales history, and WhatsApp reminders (subject to fair usage)
• Up to 10 staff accounts
• Activity logs · Advanced staff permissions
• Multi-branch support · Supplier management
• Debt due notifications to customers

Plan features and limits are subject to change with notice communicated through the app or via email.

6. Cloud Backup and Data Sync

6.1 Free Plan Backup Period

Free plan accounts are entitled to 90 days of cloud backup and sync from registration. During this period, your data is automatically backed up to our secure cloud servers.

6.2 End of Free Backup Period

• Days 76–85: Gentle reminder that your cloud backup period is ending soon
• Days 86–89: Urgent reminder that cloud backup stops in a few days
• Day 90 onwards: New data will no longer be backed up to the cloud. The app continues to function on your device using local data only. Locally stored data is not deleted.

6.3 Data Access After Backup Stops

After the free backup period, you may still access data backed up during the first 90 days. New records created after day 90 will not be stored in the cloud unless you upgrade.

7. Data Retention and Deletion

7.1 Active Accounts

We retain your data for as long as your account is active or as needed to provide our services.

7.2 Account Deletion

You may request deletion of your account and cloud data at any time by contacting us at support@tradeeasy.app. Cloud data will be permanently deleted within 30 days of verification. Locally stored data must be cleared separately by uninstalling the app.

8. Acceptable Use

By using TRADIZI, you agree not to:

• Use the app for any unlawful, fraudulent, or deceptive purpose
• Record transactions involving illegal goods or services
• Attempt to reverse-engineer, decompile, or tamper with the application
• Use the app to process or facilitate money laundering or financial fraud
• Attempt to circumvent subscription limits or access controls
• Manipulate your device clock to extend free trial periods
• Interfere with or disrupt the app's servers or infrastructure

Violation of these terms may result in immediate account suspension or termination without notice or refund.

9. Intellectual Property

The TRADIZI application, including its design, code, branding, logo, and content, is the exclusive property of ZimTrix Technologies LTD and is protected by Nigerian and international intellectual property laws.

Your business data — products, sales records, customer information, and other records you enter — remains your property. We do not claim ownership over your business data.

10. Payment and Subscriptions

10.1 Subscription Fees

Pro and Business plan fees are communicated directly to users and are subject to change with 30 days' notice.

10.2 Refunds

Subscription fees are non-refundable except where required by applicable Nigerian consumer protection law. Contact us within 7 days of a charge you believe is in error at support@tradeeasy.app.

10.3 Cancellation

You may cancel your subscription at any time. Your account reverts to the free plan at the end of your current billing period.

11. Service Availability

TRADIZI is designed to work offline for core features. Cloud backup, sync, and certain online features require an active internet connection. We strive for high availability but do not guarantee uninterrupted service. We are not liable for loss caused by temporary service unavailability.

12. No Accounting or Financial Advice

TRADIZI is a business management tool designed to help you record and organise your business data. TRADIZI does not provide accounting, tax, legal, or financial advisory services. You are solely responsible for verifying the accuracy of your records and meeting your own tax and legal obligations.

13. Limitation of Liability

To the maximum extent permitted by applicable law, ZimTrix Technologies LTD shall not be liable for:

• Loss of business data caused by device loss, damage, theft, or failure to maintain adequate backups
• Loss of revenue or profits arising from use or inability to use the app
• Indirect, incidental, special, or consequential damages of any kind
• Data loss resulting from expiry of the free backup period where prior notice was given

14. Termination

14.1 By You

You may stop using TRADIZI at any time by uninstalling the app. To delete your account and cloud data, contact us as described in Section 7.2.

14.2 By Us

We reserve the right to suspend or terminate your account without prior notice if you violate any provision of these Terms, use the app for any fraudulent or illegal purpose, or attempt to circumvent subscription controls.

15. Privacy and NDPR Compliance

We are committed to protecting your personal data in accordance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023. Our collection, use, and storage of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the TRADIZI app and update the "Last Updated" date. Your continued use of TRADIZI after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. We encourage users to contact us directly to resolve disputes before pursuing formal legal action.

18. Contact Us
